Essential Duties and Responsibilities

  • Review contract requests and proposals for comparison to company strategies and budgets
  • Coordinate relevant stakeholders in discussions involving legal, insurance, and regulatory requirements and contract deliverables
  • Ensure accuracy and appropriateness of contract text and attachments
  • Coordinate contract execution and ensure signed contracts are communicated to all relevant parties, providing clarity on contractual matters and deliverables when necessary
  • Track and report contract status, and maintain and update systems to ensure accuracy, integrity, and timeliness of data at all times
  • Review contractual performance of both parties to ensure compliance with terms and identify conflicts or changes requiring resolution
  • Track all contracts throughout the contract lifecycle, including drafts, modifications, executions, amendments, and renewals and ensure these documents are saved and filed appropriately
  • Field inquiries from team leads, client managers, and project managers regarding contracting, procedures, risks, and contract status
  • Assist with the development and maintenance of content library of commonly used contract formats, special terms and conditions, and other client-specific requirements
  • Assist in-house counsel and other teams on ad hoc research

Qualifications and Skills

Essential

  • JD from an American Bar Association accredited law school
  • Active bar license in any of the 50 states
  • Training in and understanding of common business, technical, financial, and legal practices
  • Minimum of two years of corporate contracting experience, specifically involving sales of services or software
  • Strong knowledge of contract management principles and guidelines
  • Analytical skills relative to contract information and related matters
  • Ability to evaluate risk, urgency, and prioritize tasks
  • Strong organizational ability and a demonstrated track record of managing urgent projects concurrently
  • Excellent attention to detail and the ability to complete tasks with a high degree of accuracy
  • Proven excellence in written and verbal communication and the ability to convey complex information
  • Demonstrated ability to formulate new ways of doing things in a resourceful way
  • Strong technical acumen, specifically in the Microsoft Office suite
  • Ability to develop and maintain executive-level relationships
  • Strong negotiating skills
  • Ability to communicate effectively across all levels of the company, while ensuring confidentiality and compliance with set processes and procedures

Preferred

  • Minimum of two years of paralegal experience
  • Contract Management Certification
  • Experience with software-as-a-service
